GEOEDGE REFER-A-FRIEND PROGRAM TERMS AND CONDITIONS
Five Media Marketing, Ltd. d/b/a GeoEdge (“GeoEdge”) provides Internet based services such as security & quality for advertisement including for the real time identification and blocking of advertising that violates a policy as set by Company. These Terms and Conditions (“Terms”) govern your participation in GeoEdge’s Refer-A-Friend Program (“Program”) and constitute an integral part of the Referral Form to which they are attached (“Referral Form”). “You” or “Participant” means any person who refers a Referred Customer (as defined below) to GeoEdge.
The purpose of the Program is to encourage Participants to introduce GeoEdge services to their colleagues, friends, business partners and customers (“Referred Customer”).
Any Participant who qualifies under the terms set forth below for a successful referral will be entitled to a Referral Award (as defined below). Any entity referred by a Participant shall be also entitled to a Benefit (as defined below).
Eligibility
- You must complete and submit the Referral Form available at geoedge.com/refer-a-friend-program or print it out and submit it via email to the following email address: [email protected]
- You must refer a company which is not your company or current employer and has not been engaged with GeoEdge in any previous, ongoing or prospective business relationship.
- The company which you refer must complete a commercial transaction with GeoEdge for an annual agreement of GeoEdge products and services within 12 months of the date of the referral
- To claim the Referral Award, you will be required to provide your full address and a photocopy representation of your government issued ID/Passport. You may also be required to provide additional documents required for tax withholding purposes.
The Referral Award
Participant eligible for a Referral Award will receive a $500 USD gift card at Amazon.com or an equivalent for local currency and geographically local Amazon online store.
The Referral Award will be awarded once payment of the fees for the first 3 months of the contract with the Referred Customer have been received by GeoEdge in full. GeoEdge will execute the purchase of the Referral Award and deliver the Referral Award to the address provided by you on the Referral Form. You are solely responsible for providing GeoEdge with your correct address and waive any claims against GeoEdge that the Referral Award has not been received or was not able to be delivered due to the incorrect address you provided. If GeoEdge is unable to ship and deliver the Referral Award to you for whatever reason, including but not limited to regulatory reasons GeoEdge may at its sole discretion provide a different Referral Award of an equivalent value, with or without prior notice.
You acknowledge that we may share your personal information with third parties, including relevant vendors, for the purposes of redemption of you Referral Award and that use of the vendor’s website is subject to its terms of service and privacy policy.
The Referred Customer Benefit
Referred Customers which signed an agreement with GeoEdge, will be entitled to receive free consulting services provided by the GeoEdge customer success team (the “Benefit”) as outlined below:

The Benefit will expire if not used prior to the one-year anniversary of the execution of the referred customer’s agreement with GeoEdge. The consulting services are otherwise provided under the GeoEdge Professional Services Terms and Conditions.
Warranties and Restrictions
The purpose of the Program is to encourage you to introduce GeoEdge to your colleagues, friends, business partners and customers. However, GeoEdge does not allow you to:
- use the Program for any purpose that is unlawful or prohibited by these Terms;
- resell all or any part of the Referral Award;
- use the Program to send altered, deceptive or false source-identifying information or spam, including but not limited to sending out junk emails with the referral link.
Previous and current GeoEdge employees are not eligible to participate in this Program.
GeoEdge, at its sole discretion, reserves the right to reject referrals for any reason, including but not limited to self-referrals, referrals for companies that are duplicative, or are for existing customers, prospects or partners of GeoEdge. If you successfully refer more than 3 companies, you will no longer be eligible to receive a Referral Award via the Program and will be eligible to join the GeoEdge Referral Program.
By participating in the Program, you will be required to submit personal information about yourself and the Referred Party, including, but not limited to name and email address. All information collected, stored and/or shared through the Program will be subject to our Privacy Policy.
You hereby represent and warrant that you have the full right to provide GeoEdge with any names and email addresses for the purpose set forth in these Terms.
You are responsible for determining that participation in the Program and receipt of the Referral Award is in compliance with all policies and requirements of your company. Your participation in the Program will be considered confirmation of your full compliance with any such policies and requirements.
Please note, GeoEdge is not responsible for any service or product defects or product warranty relating to the Referral Award items, which shall be governed solely by the terms offered by the manufacturer or direct provider of such item.
THE PROGRAM AND THE REFERRAL AWARD IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OR COVENANTS OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, AS TO THE OPERATION OF THE PROGRAM, ANY MATERIALS OR ANY SERVICES OR PRODUCTS AVAILABLE IN CONNECTION WITH THE PROGRAM, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, RELIABILITY, AND NON-INFRINGEMENT.
IN NO EVENT SHALL GEOEDGE BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, REGARDLESS OF THE TYPE OF CLAIM OR LEGAL THEORY ASSERTED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (I) THE PARTICIPATION IN THE PROGRAM, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE PROGRAM OR ANY REFERRAL AWARD, EVEN IF GEOEDGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF GEOEDGE (WHETHER IN CONTRACT, WARRANTY, TORT, STRICT LIABILITY, OR OTHER THEORY), ARISING OUT OF OR RELATING TO THE REFER-A-FRIEND PROGRAM, ANY PROGRAM RELATED MATERIALS OR SERVICES, OR ANY REFERRAL AWARDS, EXCEED $5.00.
Taxes
GeoEdge is not responsible for any taxes, customs or other tax issues relating to the issuing of this Referral Award. Any additional tax payment is your sole responsibility.
If and to the extent GeoEdge is required by an authorized tax authority to withhold any taxes on the Referral Award, GeoEdge shall provide all required reporting and withhold any such amounts as required by law.
Payments
In order to receive your Referral Award, you may be subject to additional payment requirement such as, for example, customs payments, income tax, etc. You are solely responsible for payment for all such taxes as they are levied and as they apply to you. GeoEdge shall make no such payments and shall not be responsible for any payment of any amount required in order to allow the delivery and shipment to you other than the payment to the common carrier.
Termination
GeoEdge reserves the right to terminate the Program at any time at its sole discretion. GeoEdge also reserves the right to terminate any Referral Award or the Benefit at its reasonable discretion.
Governing Law
These Refer-A-Friend program Terms and Conditions are governed by and will be enforced under the laws of England & Wales.
